Dispute Resolution: Binding Arbitration and Class Action Waiver

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to the Site or these Terms (a “Dispute”) will be resolved by binding arbitration rather than in court. Arbitration administrator and rules: Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable rules. The arbitrator will have authority to decide issues of arbitrability and to award any relief permitted by law, subject to these Terms. Venue/format: Unless you and Sunshine agree otherwise, arbitration will take place in Miami, Miami-Dade, Florida. Class action waiver: You and Sunshine agree that Disputes must be brought in an individual capacity only. The arbitrator may not consolidate multiple parties’ claims or preside over any class, collective, or representative proceeding. Small claims / injunctive relief: Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek temporary injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. If any portion of this arbitration section is found unenforceable, the remainder will remain enforceable to the fullest extent permitted by law.11. Governing Law
These Terms are governed by the laws of the state in which Sunshine’s principal office is located, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs interpretation and enforcement of the arbitration provision.12. Changes to the Site and These Terms
We may update the Site and these Terms at any time. Updated Terms are effective when posted with a new “Last Updated” date. Your continued use of the Site after changes means you accept the updated Terms.13. Contact
